Monthly SEO Contract

This Outsourcing Agreement for Digital Marketing and Search Optimization Services (the “Agreement”), is effective as of the Signature Date.

BETWEEN:
Local Brand Advisor, LLC (hereafter be known as Service Provider)

AND

RECITALS

WHEREAS, the Service Provider is in the business of search engine optimization, local search optimization, and digital marketing services, commonly known as SEO and Google My Business SEO.

WHEREAS, the Client is in the business of providing services in the United States.

WHEREAS, the Client desires to have increased local visibility and leads for their business.

WHEREAS, the Client desires to engage Service Provider to perform certain search optimization services, pertaining to the client’s website and Google My Business listing.

WHEREAS, the client is desirous of engaging the Service Provider and the Service Provider is willing to accept such arrangement, to provide search optimization services hereunder described to the Client and referenced in this Monthly SEO Contract

NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained, the parties hereto, intending to be legally bound, agree as follows:

Engagement

The client hereby engages Service Provider to provide the following services: SEO AND LOCAL SEO: Service Provider shall perform such specific research, consulting, optimization and implementation as outlined in the Proposal. OTHER SERVICES PROVIDED by Service Provider. Service Provider shall provide and perform such other services, as shall be requested by the Client and agreed upon between the Client and Service Provider, from time to time, at such price and on such terms as agreed. Nothing in the Agreement shall prevent either party from performing, obtaining or hiring such search optimization services at any time in the future.

8. Brand and Social Optimization
9. Google My Business Optimization
10. Update and Optimize Law Directories and Citations
11. Monthly GMB Posts and Photos
12. Monthly GMB Signal Creation
13. Analytics and Rank Tracking
14. Monthly Reporting

Specific details of each line item included can be found in the proposal presentation. You can also refer to our framework of deliverables for specific line items in the campaign.

Compensation

For Services described, the Client agrees to remunerate Service Provider the agreed-upon amount according to the terms of compensation as described in the original proposal.

Exclusivity

For Clients under a Contract for Services described above, we include exclusivity. Our agency will not complete SEO work for another business in the same niche and local market. This exclusive optimization is for the life of your campaign.

Month Commitment
Client agrees to engage the Service Provider for a period of months from the date of this agreement. After the months commitment, we require 30 days notice to cancel your campaign. If 30 days notice is not provided, your campaign will be auto-renewed.

Our custom SEO engagements includes a performance guarantee that we fully stand behind. Our SEO packages are custom designed to achieve specific campaign goals, including 3 pack or page 1 rankings for targeted keywords and Cost per Action estimates for paid search campaigns.

If we fail to increase your 3 Pack or Page 1 rankings, we will work for free until we do so. And if we fail to meet our CPA estimates we will waive our management fee until we do so

** Any month commitment includes a free website build if the client would like a new website. You will have editor access to your site, so you have the ability to make changes as needed. We include 2 rounds of revisions with any free website build. Any further revisions will add cost to the development.

12 Month Commitment
Client agrees to engage the Service Provider for a period of 12 months from the date of this agreement. After the 12 months commitment, we require 30 days notice to cancel your campaign. If 30 days notice is not provided, your campaign will be auto-renewed.

If we fail to increase your 3 Pack or Page 1 rankings, we will work for free until we do so. And if we fail to meet our CPA estimates we will waive our management fee until we do so

Governing law

This Agreement and the obligations of the parties hereunder shall be interpreted, construed and enforced by governed and construed by the laws of Pennsylvania.

IN WITNESS WHEREOF, the parties have executed this Agreement with full knowledge of its content and intending to be legally bound by the terms hereof the day and year first written above.
